VolitionRx Announces Pricing of $8.4 Million Public Offering of Common Stock
ISNES, Belgium, March 9, 2018 – VolitionRx Limited (NYSE AMERICAN: VNRX) (“Volition”), a multi-national life sciences company focused on developing simple, easy to use, cost effective blood tests designed to help diagnose a range of cancers, announced today the pricing of its previously announced underwritten public offering of 3,500,000 shares of common stock at a public offering price of $2.40 per share. The gross proceeds to Volition from this offering are expected to be approximately $8.4 million, before deducting underwriting discounts and commissions and other estimated offering expenses payable by Volition. In addition, Volition has granted the underwriters a 30-day option to purchase up to 525,000 additional shares of common stock to cover over-allotments, if any. All of the shares of common stock to be sold in the offering are being offered by Volition. The offering is expected to close on or about March 13, 2018, subject to the satisfaction of customary closing conditions.
Oppenheimer & Co. Inc. is acting as the sole book-running manager for the offering. National Securities Corporation, a wholly owned subsidiary of National Holdings Corporation (NasdaqCM: NHLD), is acting as a co-manager in connection with the offering.
