Explanation of Responses:

1. Bequeathed to the children of the reporting person by parties other than the reporting person pursuant to the terms of a will. The reporting person disclaims beneficial ownership of these securities, and this report shall not be deemed an admission that the reporting person is the beneficial owner of such securities for purposes of Section 16 or for any other purpose.

2. The foregoing shares were held by a bare trust, which was not a separate legal entity, of which the reporting person was the Trustee, for the benefit of his children. The bare trust was wound up and the securities transferred to the children of the reporting person.

3. These shares of Common Stock are beneficially owned by The Dill Faulkes Educational Trust Limited ("DFET"), a UK registered charity. The reporting person serves as a director and trustee of DFET and shares voting and dispositive control over these shares but disclaims beneficial ownership of these shares except to the extent of his pecuniary interest therein.
