("Volition America"), Ms. Theresa Kelly, as a material inducement to Ms. Kelly's commencing employment with Volition America and in accordance with Section 711 of the NYSE American Company Guide.  The Warrant has an exercise price of $3.45 per share and is exercisable commencing September 1, 2021 (subject to continued employment through such date) with an expiration date of March 1, 2026.
